These Terms of Service (the "Terms") govern your use of the Baystreet AI website at baystreetai.com and app.baystreetai.com, our chat and booking tools, and the services we provide, including website design and development, website care plans, GrowthOS and ESTIVRA. "Baystreet AI", "we", "us" and "our" means Bay Street AI inc., a company based in Kleinburg, Ontario, Canada.
By using our website, starting a chat with us, booking a call, or purchasing a service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the website or our services.
1. Who can use our services
Our services are offered to businesses and to people acting on behalf of a business. You must be at least 18 years old and able to enter a binding agreement. If you use our services for a company, you confirm that you are authorized to act for that company.
2. Our services
- Website design and development: a custom website built to an agreed scope, delivered to a domain you control.
- Website care plans: ongoing hosting support, updates, monitoring and small changes, billed monthly or annually as agreed.
- GrowthOS: our lead management, booking, review and messaging platform, provided to clients as a hosted service.
- ESTIVRA: our estimating and proposal tool for trades and contractors, provided as a hosted service.
- Custom AI and automation work: scoped and quoted per project.
The exact scope, timeline and price of any project are set out in the written quote, proposal or agreement we send you. If those documents and these Terms conflict, the signed document governs for that project.
3. Quotes, payment and deposits
- Quotes are valid for 30 days unless stated otherwise.
- Projects start once we receive the agreed deposit. The balance is due as set out in your agreement, usually before the site goes live.
- Care plans and hosted services renew automatically until cancelled. Fees are charged in Canadian dollars plus applicable taxes unless your agreement states that tax is included.
- Late payments may pause work or hosted services until the account is brought current.
- Deposits cover work already started and are not refundable once design or development has begun, unless your agreement says otherwise.
4. Ownership
When your project is paid in full, you own the finished website, its code, its content and the accounts created for it, including your domain, hosting and email accounts. We may keep a copy for support purposes and may show the work in our portfolio unless you ask us not to.
GrowthOS, ESTIVRA and any tooling, templates, frameworks or know-how that we developed before or outside your project remain ours. You receive a licence to use them as part of the service for as long as your subscription is active.
5. Your content and responsibilities
- You are responsible for the accuracy of the text, images, logos, prices and claims you give us to publish, and you confirm that you have the right to use them.
- You are responsible for your own compliance with laws that apply to your business, including advertising, licensing and consumer protection rules.
- You agree to respond to review requests and provide content in a reasonable time. Delays on your side extend the timeline.
- You will keep your login details for GrowthOS, ESTIVRA and any accounts we hand over secure, and you are responsible for activity under those logins.
6. Care plans, hosted services and cancellation
You may cancel a care plan or hosted service at any time by emailing info@baystreetai.com. Cancellation takes effect at the end of the current billing period and no partial refunds are issued for that period. Prepaid plans run to the end of their prepaid term. After cancellation, we will give you a reasonable opportunity to export your data, after which it may be deleted.
7. Messaging, calls and the chat widget
Our website offers a chat widget, powered by LeadConnector, which is the place where we collect a phone number. If you give us your mobile number there and agree to receive messages, you consent to receive text messages from Bay Street AI inc. about your enquiry, your project and related services. Message frequency varies. Message and data rates may apply. Reply STOP to any message to opt out and HELP for help, or email info@baystreetai.com. Consent to receive messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. We do not sell or share your mobile number with third parties for their own marketing. See our Privacy Policy for how we handle your information.
8. Acceptable use
You agree not to use our website, chat, booking tools, GrowthOS or ESTIVRA to send spam or unlawful messages, to upload malicious code, to attempt to access accounts or data that are not yours, to infringe anyone's rights, or to interfere with the operation or security of the services. We may suspend access where we reasonably believe these rules are being broken.
9. Third party services
Our services rely on third party providers such as hosting, domain registrars, email delivery, payment processors, calendar and messaging platforms. Their terms apply to your use of those services. We are not responsible for outages or changes on their side, although we will do our best to work around them.
10. No guarantee of results
We build and maintain websites and tools. We do not guarantee search rankings, traffic, leads, bookings or revenue. Any figures on our website are illustrative, cited to their source, or specific to the projects described. Performance targets, such as page speed, are measured at launch. Where we offer a specific launch promise, its conditions and remedy are set out in your agreement and that remedy is the only one that applies.
11. Disclaimer and limitation of liability
Except as expressly stated in your agreement, our services are provided "as is" and we disclaim all implied warranties to the extent permitted by law. To the fullest extent permitted by law, Bay Street AI inc. is not liable for indirect, incidental, special or consequential damages, including lost profits or lost data, arising from the services or these Terms. Our total liability for any claim is limited to the amount you paid us for the service that gave rise to the claim in the 12 months before the claim.
12. Indemnity
You agree to indemnify Bay Street AI inc. against claims, losses and costs arising from the content you supply, your use of the services, or your breach of these Terms.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top shows the current version. Continued use of the website or services after a change means you accept the updated Terms. Material changes to a paid service will be communicated by email.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be brought in the courts of Ontario, and you agree to their jurisdiction.
